GENERAL TERMS AND CONDITIONS OF DELIVERY PAR-AV PRODUCTIONS B.V.<\/h1>\n

Version 2026<\/p>\n

Regarding the rental, sale and delivery of audiovisual equipment and technical services<\/p>\n

\n

Article 1 \u2013 Definitions<\/h2>\n

In these general terms and conditions, the following is understood to mean:<\/p>\n

PAR-AV
PAR-AV Productions B.V., established at Andorraweg 9E in Aalsmeer, registered with the Chamber of Commerce under number 42023065.<\/p>\n

Client
The natural person or legal entity that enters into an agreement with PAR-AV.<\/p>\n

Consumer
A natural person who acts for purposes outside his business or professional activity.<\/p>\n

Business client
Any client who is not a consumer.<\/p>\n

Equipment
All audiovisual equipment, software, peripherals, cabling, accessories, and support materials made available by PAR-AV.<\/p>\n

Services
All work performed by or on behalf of PAR-AV, including delivery, transport, installation, configuration, operation, project management, livestreaming, and technical support.<\/p>\n

Rental agreement
The agreement whereby equipment is temporarily made available.<\/p>\n

Purchase agreement
The agreement under which equipment is sold.<\/p>\n

Agreement
Any agreement between PAR-AV and the client to which these terms and conditions apply.<\/p>\n

Location
Any agreement between PAR-AV and the client to which these terms and conditions apply.<\/p>\n

Working days
Monday to Friday, excluding public holidays.<\/p>\n

\n

Article 2 \u2013 Applicability<\/h2>\n

These terms and conditions apply to all offers, quotations, agreements, and deliveries of PAR-AV.<\/p>\n

Deviations are only valid if confirmed in writing by PAR-AV.<\/p>\n

The client's general terms and conditions are expressly excluded.<\/p>\n

If a provision proves to be invalid, the remaining provisions shall remain in full force and effect.<\/p>\n

In the event of a conflict between the quotation and the terms and conditions, the quotation prevails.<\/p>\n

\n

Article 3 \u2013 Offers and formation of agreement<\/h2>\n

All quotes are non-binding and valid for 14 days unless otherwise stated.<\/p>\n

Apparent errors or typos do not bind PAR-AV.<\/p>\n

An agreement is formed upon written confirmation by PAR-AV or as soon as performance commences.<\/p>\n

PAR-AV reserves the right to refuse assignments without stating reasons.<\/p>\n

Changes are only valid after written confirmation.<\/p>\n

\n

Article 4 \u2013 Prices<\/h2>\n

All prices include VAT unless stated otherwise.<\/p>\n

Prices are based on cost factors at the time of quotation.<\/p>\n

PAR-AV may pass on price changes in the event of:<\/p>\n

Changes in wages
Shipping costs
Exchange rates
taxes
purchase prices
External supplier costs<\/p>\n

If there is a price increase of more than 10 percent, a consumer has the right to terminate the agreement.<\/p>\n

\n

Article 5 \u2013 Payment<\/h2>\n

Unless otherwise agreed:<\/p>\n

Invoices must be paid within 14 days.<\/p>\n

PAR-AV may require prepayment or a deposit.<\/p>\n

In the event of non-payment, the client shall be in default.<\/p>\n

Commercial clients are liable for interest at a rate of 1.5 percent per month.<\/p>\n

Consumers are subject to statutory interest.<\/p>\n

Extrajudicial collection costs are calculated in accordance with legal rules.<\/p>\n

PAR-AV may suspend work for outstanding invoices.<\/p>\n

\n

Article 6 \u2013 Cancellation<\/h2>\n

Cancellation must be made in writing.<\/p>\n

Cancellation fees are:<\/p>\n

more than 12 weeks in advance: 15 percent
12 to 8 weeks in advance: 50 percent
8 to 4 weeks in advance: 75 percent
Less than 4 weeks in advance: 100 percent<\/p>\n

For consumers, the statutory right of withdrawal continues to apply where applicable.<\/p>\n

Specially procured materials are always fully charged back.<\/p>\n

Reserved crew hours remain due.<\/p>\n

\n

Article 7 \u2013 Delivery and performance<\/h2>\n

Delivery times are indicative unless otherwise agreed in writing.<\/p>\n

The client will provide:<\/p>\n

free access to location
Sufficient loading and unloading space
sufficient power supply
internet agreed
safe working environment<\/p>\n

Additional work due to delays or changed circumstances will be charged.<\/p>\n

PAR-AV may deploy equivalent equipment if necessary.<\/p>\n

\n

Article 8 \u2013 Transport<\/h2>\n

Transport is at the client's risk from the moment of delivery at the location.<\/p>\n

If PAR-AV provides transport, the client remains responsible for:<\/p>\n

Accessibility
Parking facilities
Loading and unloading facilities<\/p>\n

Extra waiting time will be charged.<\/p>\n

\n

Article 9 \u2013 Bail<\/h2>\n

PAR-AV may require bail.<\/p>\n

Credit to be offset against:<\/p>\n

Shame
Loss
cleaning
Missing parts
late return<\/p>\n

Refunds will be processed after equipment inspection.<\/p>\n

\n

Article 10 \u2013 Inspection and complaints<\/h2>\n

Equipment should be checked immediately upon receipt.<\/p>\n

Defects must be reported in writing within 24 hours.<\/p>\n

Consumers are entitled to statutory warranty.<\/p>\n

Complaints do not suspend payment obligations.<\/p>\n

\n

Artikel 11 \u2013 Gebruik van apparatuur<\/h2>\n

Client uses equipment:<\/p>\n

carefully
as instructed
for the agreed purpose<\/p>\n

It is not permitted to [use\/bring] equipment:<\/p>\n

by renting out
to pawn
to sell
to be made available to third parties<\/p>\n

Damage or defects must be reported immediately.<\/p>\n

\n

Article 12 \u2013 Damage, loss and theft<\/h2>\n

The client is liable for damages from the moment of delivery until return.<\/p>\n

In the event of loss, replacement value will be calculated.<\/p>\n

Repair costs will be charged.<\/p>\n

Insurance for equipment is the responsibility of the client unless otherwise agreed.<\/p>\n

\n

Article 13 \u2013 Equipment Returns<\/h2>\n

Returns will take place on the agreed date and location.<\/p>\n

An additional rent will be calculated per day upon exceeding the limit.<\/p>\n

Control is subject to subsequent inspection.<\/p>\n

Missing parts will be back-ordered.<\/p>\n

\n

Article 14 \u2013 Retention of title on sale<\/h2>\n

Ownership remains with PAR-AV until full payment is received.<\/p>\n

The client may not alienate or encumber the equipment.<\/p>\n

PAR-AV can repossess equipment in case of non-payment.<\/p>\n

The costs thereof are for the account of the client.<\/p>\n

\n

Article 15 \u2013 Technical services<\/h2>\n

PAR-AV carries out its work to the best of its knowledge and ability.<\/p>\n

The client is responsible for providing the correct information in advance.<\/p>\n

Additional work due to changes will be charged.<\/p>\n

The client provides facilities for staff if agreed.<\/p>\n

\n

Article 16 \u2013 Use of Third Parties<\/h2>\n

PAR-AV may involve third parties.<\/p>\n

PAR-AV remains responsible for correct execution.<\/p>\n

Costs will be passed on if agreed in advance.<\/p>\n

\n

Article 17 \u2013 Force Majeure<\/h2>\n

Force majeure is understood as:<\/p>\n

power cut
Internet outages
extreme weather conditions
transport problems
Staff sickness
government measures
faults location installations
Third-party delivery problems<\/p>\n

During force majeure, obligations are suspended.<\/p>\n

If force majeure lasts longer than 30 days, the parties may terminate the agreement.<\/p>\n

\n

Article 18 - Liability<\/h2>\n

PAR-AV is solely liable for direct damages.<\/p>\n

Liability is limited to:<\/p>\n

Insurance benefit
of actual amount if no benefit is paid<\/p>\n

PAR-AV is not liable for:<\/p>\n

consequential damage
Business loss
Loss of turnover
data loss
signal failure
Compatibiliteitsproblemen
Location services outages<\/p>\n

Restrictions do not apply in cases of wilful misconduct or gross negligence.<\/p>\n

Consumer rights remain unaffected.<\/p>\n

\n

Article 19 \u2013 Content and intellectual property<\/h2>\n

The client guarantees rights to the supplied content.<\/p>\n

PAR-AV is not liable for third-party claims.<\/p>\n

All technical designs remain the property of PAR-AV.<\/p>\n

Use without permission is not allowed.<\/p>\n

\n

Article 20 \u2013 Music Rights and Licences<\/h2>\n

Costs for BUMA, STEMRA and SENA are for the client.<\/p>\n

The client indemnifies PAR-AV against claims relating to this.<\/p>\n

This also applies to livestreams and recordings.<\/p>\n

\n

Article 21 \u2013 Privacy<\/h2>\n

PAR-AV processes personal data in accordance with GDPR.<\/p>\n

Privacy statement is available via:<\/p>\n

www.par-av.nl<\/a><\/p>\n

\n

Article 22 \u2013 Suspension and termination<\/h2>\n

PAR-AV display suspend on:<\/p>\n

down payment
safety risk
incorrect information
inaccessible location<\/p>\n

PAR-AV may terminate an agreement in case of:<\/p>\n

Bankruptcy
adjournment
Cessation of business
confiscation<\/p>\n

\n

Article 23 - Applicable law<\/h2>\n

Dutch law applies to all agreements.<\/p>\n

Disputes shall be submitted to the Midden-Nederland court.<\/p>\n

Consumers can make use of a legally competent court.<\/p>\n

\n

Article 24 \u2013 Final Provisions<\/h2>\n

These terms were established on 30 March 2026.<\/p>\n

They replace all previous versions of PAR-AV's general terms and conditions.<\/p>\n

relating to the rental, sale and supply of audiovisual equipment and technical services<\/p>\n

\n

Article 1 \u2013 Definitions<\/h2>\n

In these terms and conditions the following definitions apply:<\/p>\n

PAR-AV
PAR-AV Productions B.V., registered at Andorraweg 9E, Aalsmeer, The Netherlands, Chamber of Commerce number 42023065.<\/p>\n

Client
The natural or legal person entering into an agreement with PAR-AV.<\/p>\n

Consumer
A private individual.<\/p>\n

Business Client
Any client who is not a consumer.<\/p>\n

Equipment
All audiovisual equipment, software, accessories, cabling and supporting materials supplied by PAR-AV.<\/p>\n

Services
All activities performed by or on behalf of PAR-AV, including delivery, transport, installation, configuration, operation, technical support, livestream services and project coordination.<\/p>\n

Rental Agreement
A hire agreement.<\/p>\n

Purchase Agreement
Sale of goods agreement.<\/p>\n

Agreement
Any agreement between PAR-AV and the client to which these terms apply.<\/p>\n

Location
The site.<\/p>\n

Working Days
Monday to Friday, excluding official public holidays.<\/p>\n

\n

Article 2 - Applicability<\/h2>\n

These terms apply to all quotations, agreements and deliveries of PAR-AV.<\/p>\n

Deviations are only valid if confirmed in writing by PAR-AV.<\/p>\n

Client's terms and conditions are expressly rejected.<\/p>\n

If any provision is invalid, the remaining provisions shall remain in force.<\/p>\n

In the event of a conflict between a quotation and these terms, the quotation will take precedence.<\/p>\n

\n

Article 3 \u2013 Quotations and Formation of Agreement<\/h2>\n

All quotations are non-binding and valid for 14 days unless stated otherwise.<\/p>\n

Obvious errors or clerical mistakes are not binding.<\/p>\n

An agreement is concluded after written confirmation by PAR-AV or when execution has commenced.<\/p>\n

PAR-AV reserves the right to refuse assignments without stating any reasons.<\/p>\n

Amendments are only valid after written confirmation.<\/p>\n

\n

Article 4 \u2013 Prices<\/h2>\n

All prices include VAT unless stated otherwise.<\/p>\n

Prices are determined by cost factors applicable at the time of the quotation.<\/p>\n

PAR-AV may adjust prices in case of changes in:<\/p>\n

Wages
Transport costs
exchange rates
Taxes
Supplier costs
Prinsip-prinsip dasar desain produk dan proses<\/p>\n

If a price increase exceeds 10 percent, consumers have the right to terminate the agreement.<\/p>\n

\n

Article 5 \u2013 Payment<\/h2>\n

Unless otherwise agreed:<\/p>\n

Invoices must be paid within 14 days.<\/p>\n

PAR-AV may request an advance payment or deposit.<\/p>\n

In the event of late payment, the client shall be in default.<\/p>\n

Business clients owe interest of 1.5 per cent per month.<\/p>\n

Consumers are owed statutory interest.<\/p>\n

Extrajudicial collection costs are charged in accordance with Dutch law.<\/p>\n

PAR-AV may suspend services in the event of outstanding invoices.<\/p>\n

\n

Article 6 \u2013 Cancellation<\/h2>\n

Cancellation must be submitted in writing.<\/p>\n

Cancellation fees are:<\/p>\n

more than 12 weeks before delivery: 15 percent
12 to 8 weeks before delivery: 50 percent
8 to 4 weeks before delivery: 75 percent
Less than 4 weeks until delivery: 100 percent<\/p>\n

Consumers retain statutory withdrawal rights where applicable.<\/p>\n

Specially ordered materials remain fully chargeable.<\/p>\n

Reserved crew hours shall remain payable.<\/p>\n

\n

Article 7 \u2013 Delivery and Execution<\/h2>\n

Delivery times are indicative unless otherwise agreed in writing.<\/p>\n

The client shall ensure:<\/p>\n

free access to the location
Adequate loading and unloading bay
Adequate power supply
Internet connection if agreed
a safe working environment<\/p>\n

Additional work occasioned by delays or changed circumstances will be charged.<\/p>\n

PAR-AV may swap equipment for equivalent alternatives if necessary.<\/p>\n

\n

Article 8 \u2013 Transport<\/h2>\n

Transport is undertaken at the client's risk from the moment of delivery at the location.<\/p>\n

If transport is arranged by PAR-AV, the client remains responsible for:<\/p>\n

Site accessibility
parking facilities
conditions for loading and unloading<\/p>\n

Waiting time will be charged.<\/p>\n

\n

Article 9 \u2013 Deposit<\/h2>\n

PAR-AV may require a deposit.<\/p>\n

The deposit may be used to compensate:<\/p>\n

damage
Loss
Cleaning
missing parts
Late return<\/p>\n

The refund will be processed after the equipment has been inspected.<\/p>\n

\n

Article 10 \u2013 Inspection and Complaints<\/h2>\n

Equipment must be inspected immediately upon receipt.<\/p>\n

Defects must be reported in writing within 24 hours.<\/p>\n

Consumers retain statutory warranty rights.<\/p>\n

Complaints do not suspend payment obligations.<\/p>\n

\n

Article 11 \u2013 Use of Equipment<\/h2>\n

The client shall use equipment:<\/p>\n

Carefully
in accordance with instructions
for the agreed purpose only<\/p>\n

Equipment must not be:<\/p>\n

sublet
pledged
Sold
made available to third parties<\/p>\n

Damage or malfunction must be reported immediately.<\/p>\n

\n

Article 12 \u2013 Damage, Loss and Theft<\/h2>\n

The client is responsible for equipment from delivery until its return.<\/p>\n

The replacement cost will be charged in the event of loss.<\/p>\n

Repair costs will be charged where applicable.<\/p>\n

Insurance of equipment is the client\u2019s responsibility unless otherwise agreed.<\/p>\n

\n

Article 13 \u2013 Return of Equipment<\/h2>\n

Equipment must be returned by the agreed date and to the agreed location.<\/p>\n

Late returns will incur additional daily rental charges.<\/p>\n

Inspection is subject to final technical verification.<\/p>\n

Any missing parts will be invoiced separately.<\/p>\n

\n

Article 14 \u2013 Retention of Title (Sale)<\/h2>\n

Ownership remains with PAR-AV until full payment has been received.<\/p>\n

The client may not transfer or encumber the equipment.<\/p>\n

PAR-AV may repossess equipment in the event of non-payment.<\/p>\n

Costs related to repossession are charged to the client.<\/p>\n

\n

Article 15 \u2013 Technical Services<\/h2>\n

PAR-AV performs services to the best of its knowledge and ability.<\/p>\n

The client shall provide accurate information in advance.<\/p>\n

Any additional work arising from changes will be charged.<\/p>\n

Client facilities for personnel shall be provided where agreed.<\/p>\n

\n

Article 16 \u2013 Use of Third Parties<\/h2>\n

PAR-AV may use subcontractors.<\/p>\n

PAR-AV remains responsible for proper execution.<\/p>\n

Costs will be charged if agreed in advance.<\/p>\n

\n

Article 17 \u2013 Force Majeure<\/h2>\n

Force majeure includes:<\/p>\n

power outages
Internet failure
extreme weather conditions
Transport disruption
Staff illness
government restrictions
Venue technical failures
Supplier delivery delays<\/p>\n

Obligations are suspended during force majeure.<\/p>\n

If force majeure continues for longer than 30 days, either party may terminate the agreement.<\/p>\n

\n

Article 18 \u2013 Liability<\/h2>\n

PAR-AV is only liable for direct damage.<\/p>\n

Liability is limited to:<\/p>\n

insurance payout
or invoice amount if no payout applies<\/p>\n

PAR-AV shall not be liable for:<\/p>\n

consequential loss
Business interruption
loss of revenue
loss of data
Signal failure
Compatibility problems
venue infrastructure failures<\/p>\n

These limitations do not apply in cases of intent or gross negligence.<\/p>\n

Consumer statutory rights remain unaffected.<\/p>\n

\n

Article 19 \u2013 Content and Intellectual Property<\/h2>\n

The client guarantees they own or have authorisation for the content supplied.<\/p>\n

PAR-AV shall not be liable for third-party claims.<\/p>\n

All technical designs remain the property of PAR-AV.<\/p>\n

Unauthorized use is prohibited.<\/p>\n

\n

Article 20 \u2013 Music Rights and Licensing<\/h2>\n

All BUMA\/STEMRA\/SENA or equivalent music licensing costs are borne by the client.<\/p>\n

The client shall indemnify PAR-AV against related claims.<\/p>\n

This includes livestream and recording usage.<\/p>\n

\n

Article 21 \u2013 Privacy<\/h2>\n

PAR-AV processes personal data in accordance with GDPR.<\/p>\n

Privacy policy is available at:<\/p>\n

www.par-av.nl<\/a><\/p>\n

\n

Article 22 \u2013 Suspension and Termination<\/h2>\n

PAR-AV may suspend services in the event of:<\/p>\n

non-payment
Safety risks
incorrect information
locations that are inaccessible<\/p>\n

PAR-AV may terminate agreements in the event of:<\/p>\n

insolvency
suspension of payments
Business closure
Asset forfeiture<\/p>\n

\n

Article 23 \u2013 Governing Law<\/h2>\n

All agreements are governed by Dutch law.<\/p>\n

Disputes shall be submitted to the competent court in Midden-Nederland.<\/p>\n

Consumers retain the right to use their statutory competent court.<\/p>\n

\n

Article 24 \u2013 Final Provision<\/h2>\n

These terms and conditions were adopted on 30 March 2026.<\/p>\n
